By accessing and using TOPDUK Workspace ("the Service"), you accept and agree to be bound by the terms and conditions outlined in this document. If you do not agree to these terms, you may not access or use the Service.

2. Description of Service

TOPDUK Workspace is a productivity platform that provides note-taking, reminder management, time tracking, financial entry, AI-powered insights, and team collaboration features. The Service is offered on a subscription basis with various pricing tiers.

3. User Accounts and Registration

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information as prompted by our registration form. You are responsible for maintaining the confidentiality of your account credentials.

Free trial users receive 1-day access to evaluate the Service. Paid subscriptions are required for continued access and data persistence beyond the trial period.

4. Subscription and Payment

The Service is offered on a subscription basis with monthly recurring payments. Subscription fees are non-refundable except as required by law. You authorize us to charge the payment method you provide for the subscription fee.

We reserve the right to change subscription fees at any time. Any price changes will be communicated to users in advance and will take effect at the start of the next billing cycle.

Failure to pay subscription fees may result in temporary or permanent suspension of access to the Service and potential deletion of stored data after a grace period.

5. User Conduct and Responsibilities

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service for any illegal or unauthorized purpose
• Transmit or store material that violates applicable laws or regulations
• Interfere with or disrupt the Service or servers connected to the Service

You retain ownership of any content you submit to the Service. However, by submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and process such content for the purpose of providing the Service.

8. Service Availability and Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TOPDUK WORKSPACE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Termination

You may terminate your account at any time by following the account cancellation process. Upon termination, your right to use the Service ceases immediately.

We may suspend or terminate your account at our sole discretion, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

Upon termination, we may delete your account and all associated data after a reasonable grace period, as outlined in our account management policies.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which TOPDUK Workspace operates, without regard to its conflict of law provisions.
